Partnership Agreement

 

This agreement ("Agreement") is concluded on 21/04/2025 between

  1. Objective of the Agreement

1.1 The purpose of this Agreement is to establish a partnership whereby the Provider shall provide:

Educational support services.

 

  1. Obligations of the Provider

2.1 The Provider shall bear the following responsibilities:

  • Identify suitable universities for the applicant (student).
  • Assist the Beneficiary's candidates in the application process and obtain approval.
  • Provide the necessary support and guidance throughout the application process.
  • Proposal:
  • The Provider undertakes to provide the services in accordance with the highest standards of quality and accuracy, and in the event that the Provider fails to do so due to an error or negligence on its part, the Beneficiary shall be entitled to a refund of the fees paid or to obtain appropriate compensation.
  • The Provider shall bear full responsibility for any errors resulting from failure to perform the services, including the rejection of applications submitted due to failure to meet the requirements or the submission of incorrect documents only. The Provider shall not bear any responsibility in the event of security or administrative rejection by the Romanian authorities.

 

  1. Beneficiary's Obligations

3.1 The Beneficiary shall undertake to:

  • Provide accurate and complete information to the Provider regarding the requirements of the candidates.
  • Provide the necessary documents, including certifications, attestations and translations.
  • Cooperate with the Provider in implementing this Agreement.
  • The Beneficiary shall not bear any legal responsibility for any problems related to the acceptance of candidates by universities or other entities, and this responsibility shall be entirely the responsibility of the Provider.
  • The Beneficiary shall undertake to carefully review all applications submitted by candidates and ensure that they comply with the requirements of the relevant universities and bodies. In the event of failure, the Beneficiary shall bear any additional costs to correct the error.

 

  1. Fees and Payments

The total cost of the educational support service for each beneficiary candidate is as follows:

  • The full price is paid to the provider upon receipt of the correct and complete documents.
  1. Term and Termination of Agreement

5.1 This Agreement shall commence on the Effective Date and shall remain in effect until terminated in accordance with its terms.

5.2 Either party may terminate this Agreement by giving 30 days written notice to the other party.

5.3 All Services shall be paid in advance.

5.4 All Services shall be non-refundable.

 

  1. Intellectual Property Rights

6.1 Each party shall retain its own intellectual property rights.

 

  1. Confidentiality

7.1 Each party shall maintain the confidentiality of all information relating to the other party.

The Provider undertakes to maintain the confidentiality of all information provided by the Beneficiary, with the right of the Provider to use the information for marketing and advertising purposes only."

 

  1. Dispute Resolution

8.1 Any disputes arising from or related to this Agreement shall be subject to the laws of Romania.

8.2 Disputes shall be resolved through negotiation, and if no solution is reached, disputes shall be referred to the Romanian judiciary.

 

  1. Refunds
  • The Beneficiary has the right to request a refund of 50% of the amount paid in the event that the application is rejected by the Romanian Ministry of Education for reasons such as: missing documents, error in submitting the application.

 

  1. Compensation and Penalties
  • In the event of the Provider's breach By committing to submit the application submitted by the beneficiary to the Romanian governmental or private bodies, the provider undertakes to bear all material costs paid by the beneficiary.

 

  1. Miscellaneous Clauses
  • The Provider undertakes to provide periodic monthly reports explaining the status of the submitted applications, the progress made, and any possible problems or delays, with clear solutions for the Beneficiary. Or by granting access to the list of Beneficiary clients of the CRM system to know the status of the application of the Beneficiary's clients.

 

  1. Entire Agreement

12.1 This Agreement represents the entire agreement between the Parties and supersedes all prior or contemporaneous communications, representations or agreements, whether oral or written.
